These Terms and Conditions ("Terms") govern your use of services provided by Sevia, a division of KeyTech ("we," "us," or "our"). Sevia offers custom Customer Relationship Management (CRM) solutions and automation services primarily for real estate professionals. By accessing or using our website, software, or services (collectively, "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Our Services are provided on a fee basis as agreed upon in a separate service agreement or contract. Fees may include one-time development costs, recurring subscription fees, or charges for additional support services. All fees are non-refundable unless otherwise specified in writing.
You agree to pay all applicable fees in accordance with the payment terms provided to you. Payments must be made in Danish Krone (DKK) unless otherwise agreed. Late payments may incur additional charges or result in suspension of Services at our discretion.
All software, designs, code, documentation, and content provided as part of the Services ("Sevia IP") are the intellectual property of Sevia/KeyTech or our licensors. Upon payment in full, you are granted a non-exclusive, non-transferable, revocable license to use the Sevia IP solely for your internal business purposes as outlined in our agreement.
You retain ownership of any data, content, or materials you provide to us ("Client Content"). By providing Client Content, you grant us a worldwide, royalty-free license to use, modify, and reproduce it as necessary to deliver the Services.
We agree to keep confidential any proprietary or sensitive information you provide to us in connection with the Services, except as required by law or with your consent. Similarly, you agree to keep confidential any proprietary information we share with you, including details about our software and processes.
We warrant that our Services will be provided with reasonable skill and care consistent with industry standards. However, the Services are provided "as is" and "as available," and we do not guarantee that they will be uninterrupted, error-free, or entirely secure.
To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Sevia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid us for the Services in the preceding 12 months.
You may terminate your use of the Services at any time by discontinuing use and notifying us in writing. We may terminate or suspend your access to the Services if you breach these Terms, fail to pay fees, or if we discontinue the Services. Upon termination, your license to use Sevia IP ends, and you must cease using the Services.
We shall not be liable for delays or failure to perform our obligations due to events beyond our reasonable control, including but not limited to natural disasters, wars, strikes, or failures of third-party providers (e.g., cloud hosting services).
Your use of our Services is subject to our Privacy Policy, which outlines how we collect, use, and protect your personal and business data. By using our Services, you consent to such processing and warrant that any data you provide complies with applicable data protection laws.
We reserve the right to modify these Terms at any time. Updates will be posted on our website, and the "Last Updated" date will reflect the effective date of changes. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.
These Terms are governed by the laws of Denmark. Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Denmark. Both parties agree to attempt to resolve disputes amicably through negotiation before pursuing legal action.
Entire Agreement: These Terms, along with any service agreements or contracts, constitute the entire agreement between you and Sevia regarding the Services.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations at our discretion.
Waiver: Failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
